1. Introduction
TED Protocol is a decentralized, non-custodial protocol for cross-chain stablecoin exchanges. The protocol operates through smart contracts deployed on various blockchain networks including Ethereum, Arbitrum, Base, Polygon, BNB Chain, and Kaia. The Company provides an interface to interact with these smart contracts but does not control the underlying blockchain networks, execute transactions on your behalf, or hold custody of your assets at any time. You retain full control of your cryptoassets through your own non-custodial wallet. The Company reserves the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice or liability.2. Dispute Resolution and Arbitration
Informal Resolution. If you have a dispute with us, you agree to first contact us at legal@tedprotocol.io and attempt to resolve the dispute informally for at least 60 days before initiating any arbitration or court proceeding. Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved by binding arbitration. The arbitration shall be conducted in English on a confidential basis. Class Action and Jury Trial Waiver. YOU AGREE THAT ANY DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in class action lawsuits or class-wide arbitration. YOU HEREBY WAIVE YOUR RIGHT TO A JURY TRIAL FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.3. The Services
a. Cryptoasset Control. TED Protocol is entirely non-custodial. You maintain complete control over your cryptoassets at all times through your own wallet. We never take custody of, hold, or have access to your funds. All transactions are executed directly on the blockchain through smart contracts. b. Self-Custodial Wallets. To use our Services, you must connect a compatible third-party non-custodial wallet (such as MetaMask, WalletConnect-compatible wallets, or others). Your use of any wallet is governed by the applicable terms and policies of that wallet provider. We are not responsible for the operation, security, or availability of any third-party wallet. You are solely responsible for the security of your wallet, private keys, and seed phrases. c. Non-Intermediary Status. The Company operates as a technology provider and does not act as your broker, intermediary, agent, advisor, or fiduciary. We do not provide investment, legal, tax, or financial advice. Any information provided through our Services is for informational purposes only. d. Transaction Information. We do not have access to information about your transactions beyond what is publicly available on the blockchain. We may collect usage data as described in our Privacy Policy, but we cannot see your private keys or control your wallet. e. Blockchain Fees. All blockchain transactions require payment of network fees (“gas fees”) to validators. These fees are determined by network conditions and are paid directly to the blockchain network, not to us. Gas fees are non-refundable regardless of transaction outcome. f. Protocol Fees. TED Protocol charges a protocol fee of 0.1% on swap volume. In addition, third-party services may charge their own fees:- Bridge protocol fees for cross-chain transfers (charged by bridge operators)
- DEX fees for liquidity access (charged by liquidity providers)
4. Assumption of Risk
a. Experimental Technology. Blockchain technology and decentralized finance are experimental and involve significant risks. Smart contracts may contain bugs, vulnerabilities, or errors that could result in the loss of some or all of your cryptoassets. Blockchain networks may experience congestion, forks, or other disruptions. Cryptoasset values are highly volatile. We assume no liability or responsibility for any such risks or losses to the fullest extent permitted by applicable law. b. Third-Party Services. Our Services may integrate with or reference third-party services including blockchain networks, bridge protocols, DEXs, wallet providers, and community platforms. We are not responsible for the availability, security, or content of any third-party services. Your interactions with third parties are solely between you and them. c. Smart Contract Execution. All transactions are processed automatically by smart contracts according to their programmed logic. Once you submit a transaction to the blockchain, it cannot be reversed or cancelled. By using our Services, you consent to automatic processing of transactions as dictated by the smart contract code, with no Company liability for the outcomes. d. Service Risks. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free. The Services may be unavailable due to maintenance, network issues, or other factors. Transactions are irreversible once confirmed on the blockchain. You must independently evaluate all risks before using the Services. e. Wallet Security. You are solely responsible for maintaining the security of your wallet and private keys. Loss of private keys or seed phrases will result in permanent, irreversible loss of access to your cryptoassets. We have no ability to recover lost keys or restore access to your wallet. Never share your private keys or seed phrases with anyone. f. Access Restrictions. We reserve the right to restrict or terminate your access to the Services at any time if we suspect you are:- Engaged in money laundering, terrorist financing, fraud, or sanctions violations
- Using stolen funds or proceeds of illegal activity
- Violating these Terms
- Posing operational or security risks to the Services
5. Taxes
You are solely responsible for determining and paying any and all taxes, duties, and assessments applicable to your use of the Services and any transactions involving cryptoassets. The tax treatment of cryptoassets and DeFi transactions is uncertain and may vary by jurisdiction. We strongly recommend consulting a qualified tax professional regarding your specific situation.6. Intellectual Property Rights
a. Ownership. The interface, website design, graphics, logos, and related content of the Services are owned by the Company or our licensors and are protected by international copyright, trademark, and other intellectual property laws. TED Protocol’s smart contract code is released under an open-source license and may be used in accordance with its license terms. b. Feedback. If you provide feedback, suggestions, or ideas regarding the Services (collectively, “Feedback”), you grant us a perpetual, worldwide, royalty-free, irrevocable license to use, modify, and incorporate such Feedback for any purpose without compensation or attribution to you. c. License Grant. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services. This license does not include the right to create derivative works based on the Services or to resell the Services. d. Trademarks. “TED Protocol,” “TEDP,” and related logos and marks are trademarks of the Company. The trademarks may be used in services that reference or integrate with TED Protocol. However, trademark use is prohibited in the following cases:- Modifying or altering the logos or trademarks
- Using them in a manner that damages TED Protocol’s reputation or creates a negative impression
- Creating a false impression of official partnership or endorsement
- Using them for fraud, phishing, or other malicious purposes
7. Prohibited Activities
You agree not to engage in any of the following prohibited activities:- Illegal Activity. Any activity that violates applicable laws, including money laundering, terrorist financing, tax evasion, sanctions violations, or trafficking in illegal goods or services.
- Fraud and Deception. Fraudulent, deceptive, or manipulative conduct, including market manipulation, front-running, or misrepresentation of identity or affiliation.
- Unauthorized Access. Attempting to gain unauthorized access to our systems, other users’ wallets, or any computer networks connected to our Services.
- Malicious Code. Uploading, transmitting, or distributing viruses, malware, ransomware, or other malicious code.
- Reverse Engineering. Copying, decompiling, disassembling, or reverse engineering the interface or frontend of the Services. Smart contract code released as open source is excluded from this restriction.
- Data Harvesting. Using automated systems to collect, scrape, or harvest data from the website or interface for unauthorized purposes.
- Impersonation. Impersonating another person or entity or falsely claiming affiliation with any person or entity.
- Interference. Interfering with or disrupting the Services or other users’ access to the Services.
- Security Circumvention. Attempting to bypass, disable, or circumvent any security features or access controls.
- Smart Contract Exploits. Exploiting vulnerabilities in smart contracts except through our authorized bug bounty program.
8. Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy and completeness
- Reliability and security
- Timeliness
- Freedom from viruses or other harmful code
- Smart contract vulnerabilities or exploits
- Bridge protocol failures or security incidents
- Cross-chain messaging delays or failures
- DEX liquidity issues or manipulation
- Oracle errors or manipulation
- Stablecoin de-pegging events
- Blockchain network congestion or failures
- Key compromise or multisig failures
- Frontend compromise or phishing attacks
- Regulatory actions or legal changes
- Counterparty defaults in integrated protocols
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, CRYPTOASSETS, OR OTHER INTANGIBLE LOSSES. Our total aggregate liability for all claims arising out of or relating to these Terms or the Services shall not exceed ONE HUNDRED US DOLLARS (USD $100). We shall not be liable for:- User errors or mistakes
- Server failures or data loss
- Blockchain network malfunctions
- Changes in cryptoasset values
- Changes in applicable laws or regulations
- Force majeure events
- Acts or omissions of third parties
10. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its affiliates, and their respective directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:- Your use of or access to the Services
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third-party rights
- Any content or Feedback you submit
- Your use of any third-party products or services accessed through the Services
- Any misrepresentation by you
11. Waiver of Injunctive Relief
To the fullest extent permitted by law, you agree that you will not seek or be entitled to injunctive or other equitable relief that would prevent or restrict the development, operation, or exploitation of the Services or any related intellectual property.12. Termination
Either party may terminate these Terms at any time. We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including:- If you breach these Terms
- If we suspect unlawful activity
- If continued operation poses security or operational risks
- For any other reason at our sole discretion
